so i am in the process of creating a site using EE. i got confused with theme and templates. i can add css, js file on template and make it look like the site i want. so what does theme does? and how it works. any idea would be greatly appreciated.

Welcome to ee! Great choice!
The theme/design of your template is the css & js - as you note, is frequently contained in a folder -
/assets/js /assets/css etc.
Then there is the ee program /root/themes/ folder which includes
cp themes - control panel themes that you can choose - both from Ellis and 3rd party developers like ee-garage.com
forum themes - the discussion forum has # themes included and 3rd party themes available - RL themes and scaffold
third party themes - contain themes used in some 3rd party add-ons
etc.
