ExpressionEngine License Agreement

This license is a legal agreement between you and EllisLab, Inc. for the use of ExpressionEngine (all versions) Software (the “Software”). By downloading any version of ExpressionEngine or any ExpressionEngine Add-ons you agree to be bound by the terms and conditions of this license. EllisLab, Inc. reserves the right to alter this agreement at any time, for any reason, without notice.

By using ExpressionEngine, you agree to everything below. This portion of the document helps explain things in a user-friendly way, but doesn’t include everything and is not legally binding. You are agreeing to the legal terms, not the simpler explanations.

ExpressionEngine Installations

An ExpressionEngine license purchase allows a single “live” installation in a production environment and ancillary “development use only” installations as needed to support the live installation (such as development and a staging servers). Additional installations require additional license purchases. If you have specific installation needs not covered by this license, please contact us.

One license per project. Install it wherever you need to build and maintain the project. Don't run multiple projects from one license.

Permitted Use

  • Core License: Users of the Core License may use the Software only on a website engaging in personal, non-commercial activities. Non-profit companies may NOT use the Core License.
  • Standard License: Users of the Standard purchased ExpressionEngine License may use the Software on a website engaging in commercial, personal, non-commercial, or non-profit activities. Websites engaging in direct or indirect commercial activities must purchase a Standard License.

Each installation may be used to power a single website. Using ExpressionEngine to run multiple sites requires a multi-site license, and all such sites must be wholly owned by the licensee.

EllisLab, Inc. will be the sole arbiter as to what constitutes commercial activities.

If the site is connected with a business of any kind, successful or not, for profit or non, you must buy a license. If you are discounting your rates or working pro-bono for a non-profit with a tight budget, email us, we'll match what you're doing for them.

Multiple Site Manager adds functionality to let a single site owner divide and share content across domains that they own, while keeping a single set of members. It is not a way to circumvent the software license and offer hosting to multiple clients, nor is it a volume discount scheme.

Restrictions

Unless you have been granted prior, written consent from EllisLab, Inc., you may not:

  • Use the Core License for any client or contract work.
  • Use the Software as the basis of a hosted blogging service, or to provide hosting services to others.
  • Reproduce, distribute, or transfer the Software, or portions thereof, to any third party.
  • Modify, tamper with, bypass, or in any way impede license registration routines in the Software.
  • Sell, rent, lease, assign, or sublet the Software or portions thereof, including sites in your multi-site license.
  • Grant rights to any other person.
  • Use the Software in violation of any U.S. or international law or regulation.

We work hard like you, so treat us like you'd like to be treated. Here are some of the biggies:

If you're getting paid, so should we. If you're doing your work pro-bono, please contact us and we'll work something out.

One site, one owner. If you are planning on a site that lets people sign up and build their own sites using one license, stop.

Don't intentionally or unintentionally give away the farm. Keep your GitHub and BitBucket repos private.

Display of Copyright Notices

All copyright and proprietary notices and logos in the Control Panel and within the Software files must remain intact.

Be discreet, don't delete! Give us a holler if you want to white label.

Giving Credit

Core License Users are required to display a “powered by ExpressionEngine” link or graphic on their publicly accessible site, pointing to https://ellislab.com/expressionengine. Users of a purchased Standard license are exempt from this requirement.

If you're using our free version, give us a shout on your site.

Making Copies

You may make copies of the Software for back-up purposes, provided that you reproduce the Software in its original form and with all proprietary notices on the back-up copy.

Treat backups with the same care you do your live files.

Software Modification

Except as forbidden by this license agreement, you may alter, modify, or extend the Software for your own use, or commission a third-party to perform modifications for you, but you may not resell, redistribute or transfer the modified or derivative version without prior written consent from EllisLab, Inc. Components from the Software may not be extracted and used in other programs without prior written consent from EllisLab, Inc.

Have an idea to transform ExpressionEngine into something new that you'd like to give or sell to others? Awesome! But you do need our permission first.

Technical Support

Technical support is provided as described in the Support Policy.

Your first purchase gives you three months of stellar support from our engineers, and those terms are in a separate document.

Refund Policy

Due to the non-returnable nature of downloadable software, EllisLab, Inc. does not issue refunds once a transaction has been completed. If you have questions about whether or not ExpressionEngine will work for you, please try the Core edition or contact us with any questions. We encourage you to thoroughly test the system you are interested in before purchasing to determine its suitability for your purposes and compatibility with your hosting account.

Digital downloads are non-returnable.

Indemnity

You agree to indemnify and hold harmless EllisLab, Inc. for any third-party claims, actions or suits, as well as any related expenses, liabilities, damages, settlements or fees arising from your use or misuse of the Software, or a violation of any terms of this license.

If something goes wicked wrong, we're not liable. If we're sued because of something you do with our stuff, you foot the bill.

Disclaimer Of Warranty

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF QUALITY, PERFORMANCE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. FURTHER, ELLISLAB INC. DOES NOT WARRANT THAT THE SOFTWARE OR ANY RELATED SERVICE WILL ALWAYS BE AVAILABLE.

We try our best to make an awesome product, but we can't guarantee anything.

Limitations of Liability

YOU ASSUME ALL RISK ASSOCIATED WITH THE INSTALLATION AND USE OF THE SOFTWARE. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS OF THE SOFTWARE BE LIABLE FOR CLAIMS, DAMAGES OR OTHER LIABILITY ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE. LICENSE HOLDERS ARE SOLELY RESPONSIBLE FOR DETERMINING THE APPROPRIATENESS OF USE AND ASSUME ALL RISKS ASSOCIATED WITH ITS USE, INCLUDING BUT NOT LIMITED TO THE RISKS OF PROGRAM ERRORS, DAMAGE TO EQUIPMENT, LOSS OF DATA OR SOFTWARE PROGRAMS, OR UNAVAILABILITY OR INTERRUPTION OF OPERATIONS.

If your server blows up, or your intern burns ExpressionEngine onto a weaponized DVD and flings it at a co-worker, we're not to blame.
